Please read the Terms of Use for the applicable program carefully and in their entirety before purchasing and using ANY DIGITAL PRODUCT or ONLINE EDUCATION PROGRAM (hereinafter referred to as the “Program”). Each applicable program and its content are owned by NATESVIOLIN LLC.

1. Definitions:

“Company”, “We”, “I”, “Our”, or “Us” means NATESVIOLIN LLC.

“Participation”, “Participating”, “Using”, or “Use” means reading, implementing, trying, or otherwise engaging in the applicable program.

“Program” means any digital product, course, membership, subscription, live or recorded training, downloadable resource, or educational offering sold or provided by NATESVIOLIN LLC, including but not limited to Daily Virtuoso, Spring Audition Intensive, the Daily Virtuoso Podcast, digital books, and standalone courses.

“You”, “Your”, “User”, or “Client” means the purchaser and person using the applicable program.

2. Consent:

By participating in the applicable program, you implicitly and voluntarily agree to act in accordance with, agree to, and abide by, these Terms of Use.

3. DISCLAIMER:

By participating in the applicable program, you understand that NATHAN COLE is a VIOLIN TEACHER.

This Program is for informational and educational purposes only. The information and education provided in this Program is not intended or implied to supplement or replace the professional advice of a physician, physical therapist, psychologist, or financial advisor. You should consult with a professional in those areas in person where you live or work to discuss issues or questions pertaining to your particular situation. 

Although we do our best to make sure all of the applicable program’s content is up to date and/or accurate, we do not make any representation that all the information is accurate or free of errors at all times. We do not assume any responsibility for the accuracy of the applicable program’s information, or its safety or efficacy as it applies to you.

4. Assumption of the Risk

You should use your best judgment in using the information provided in the applicable program, which is done at your own risk. It is your responsibility to discern the risk of using the applicable program or its content. You assume responsibility for your actions, choices, or lack thereof, related to the applicable program. 

5. Intellectual Property Ownership:

The applicable program and its content, including, but not limited to, VIDEOS, AUDIO RECORDINGS, WRITTEN MATERIALS, DOWNLOADABLE RESOURCES, LIVE OR RECORDED TRAININGS, PRACTICE MATERIALS, COMPANION RESOURCES, AND ANY OTHER MATERIALS PROVIDED AS PART OF THE PROGRAM, are intellectual property owned by NATHAN COLE and NATESVIOLIN LLC.  Any violations of this term, and all terms contained herein, will be legally pursued to the fullest extent permitted by law.

Any use of the Company’s intellectual property may not be used in connection with the sale or distribution of any product, program, and/or service by you, directly or indirectly, without the prior written consent of NATESVIOLIN LLC.

Misappropriation or unauthorized use of the Company’s intellectual property and/or trade secrets may result in the enforcement of an infringement and/or intellectual property theft action against you in an effort to recover damages and/or protect our intellectual property rights. The Company reserves the right to pursue an action for misappropriation, theft, or improper use of its intellectual property by the Purchaser, the Purchaser’s representatives, assigns, contractors, employees, or acquaintances. 

6. No Sharing:

You cannot distribute, copy, forward, and/or share the applicable program or its content with anyone else. Any violations of these Terms of Use will be legally pursued to the fullest extent permitted by law.

You may not share your password or login information with anyone. If you share your password or login with anyone who did not purchase the applicable program, you will be removed from the applicable program immediately and no refund will be issued. 

7. No Claims Made Regarding Results:

Any and all current or past-client testimonials, statements, or examples used by us are simply that: examples. They are not guarantees that you will also experience or receive the same results. Each person and their circumstances are unique and nothing shall be interpreted as a guarantee that you will experience the same results as another client of ours. 

We do not make any assurances as to any particular financial-based outcome based on the use of or participation in the applicable program. We are not responsible for the success or failure of your musical career, education, business, business decisions, income, sales, or any other result of any kind that you may have as a result of your participation in the applicable program.

8. DISCLAIMER – No Warranties, Guarantees, or Representations Are Being Made:

We do not offer any representations, guarantees, or warranties, of any variety, regarding the applicable program in any way including, but not limited to, your future income, sales, potential, profitability, or losses derived as a result of your use of the applicable program. The applicable program is offered “AS IS” and without representations, guarantees, or warranties of any kind, including but not limited to, implied warranties of merchantability and fitness for a particular purpose, neither express nor implied, to the extent permitted by law.  We are not liable for damages of any kind related to your use of the applicable program.

9. Your Release of Us, Indemnification, Hold Harmless:

To the fullest extent permitted by law, NATESVIOLIN LLC expressly disclaims liability for any direct, indirect, and/or consequential damages suffered by you related to your purchase or use of, or participation in, the applicable program, its materials, our website, or any other information obtained by you from us. By enrolling in the applicable program, you hereby agree to this limitation of liability and release NATESVIOLIN LLC from any and all claims.

By participating in and/or purchasing the applicable program, you agree to release, forgive, forever discharge, defend, indemnify, and hold harmless NATESVIOLIN LLC, our subsidiaries, employees, agents, contractors, subcontractors, shareholders, directors, officers, coaches, assignees, licensees, and affiliates from any and all claims, suits, actions, charges, demands, liabilities, damages, judgments, and/or costs, related to, or arising out of, your purchase of or participation in the applicable program and/or your breach of any obligation, warranty, covenant, or representation set forth in these Terms of Use. 

By enrolling in the applicable program, you agree to release us from any and all claims, and further agree to at all times defend, indemnify, and hold harmless NATESVIOLIN LLC as stated in this section herein.

10. Our Refund Policy:

1. DAILY VIRTUOSO MEMBERSHIP
   1. Refunds are available for ANNUAL MEMBERSHIP SUBSCRIPTIONS paid in full only if canceled within fourteen (14) days of the initial payment date. After this fourteen (14)-day period, all payments for the Annual Membership Subscription are non-refundable. For subsequent renewal years, you may request a refund within fourteen (14) days following the renewal billing date. Requests made outside of this fourteen (14)-day renewal refund period will not be honored.
   2. MONTHLY MEMBERSHIP SUBSCRIPTIONS are non-refundable. When you enroll, your first payment will be charged immediately and prorated for the remainder of the current calendar month. Your first full monthly payment will be charged on the last day of the month, and on the last day of each subsequent month thereafter, unless canceled prior to such date. If you cancel, your membership and access to the applicable program will remain active through the end of your current paid subscription term, after which your access will terminate.
   3. In all cases, it is the User’s responsibility to cancel their membership through their account portal prior to their billing date.
      
2. DV PODCAST SUBSCRIPTIONS
   1. Refunds are available for ANNUAL DV PODCAST SUBSCRIPTIONS paid in full only if requested within fourteen (14) days of the initial payment date. After this fourteen (14)-day period, all payments are non-refundable.
   2. MONTHLY DV PODCAST SUBSCRIPTIONS are non-refundable. When you enroll, your first payment will be charged immediately and on the same calendar day of each subsequent month thereafter, unless canceled prior to such date. If you cancel, your membership and access to the applicable program will remain active through the end of your current paid subscription term, after which your access will terminate.
   3. In all cases, it is the User’s responsibility to cancel their membership through their account portal prior to their billing date.
      
3. SCALES: THE ROAD TO REPERTOIRE
   1. SCALES: THE ROAD TO REPERTOIRE includes a thirty (30)-day money-back guarantee. You may request a refund within thirty (30) days of your original purchase date.
   2. Due to the downloadable nature of the ebook, upon issuance of a refund you may retain access to the downloaded book. However, all access to any supplemental materials, including associated video content or other companion resources, will be terminated upon refund.
   3. Refund requests made after the thirty (30)-day guarantee period will not be honored.
      
4. FRONT STAND STUDIO
   1. It is the responsibility of the Client to make use of the course and its resources. This includes, but is not limited to, attending events and coaching sessions, as well as practicing and implementing what has been learned in these sessions.
   2. It is the responsibility of the Client to schedule and complete their one-on-one sessions within the given time frame. Unless otherwise discussed and agreed upon, one-on-one sessions take place one (1) time per three (3)-month period.
   3. It is the responsibility of the Client to secure transportation, lodging, and any other personal expenses necessary to travel to, from, and during the in-person event.
   4. Refunds are available for FRONT STAND STUDIO only if requested within fourteen (14) days of the initial payment date. After this fourteen (14)-day period, all payments are non-refundable.
   5. The total price for participation in FRONT STAND STUDIO occurs as detailed on the checkout page (“’Cost”’). The Client has the option to either pay in full or select a monthly billing cycle, with payments due each month on the date of the original enrollment, until the balance is fully paid. The Client will provide a valid payment method at the time of enrollment for monthly billing purposes. It is the Client’s responsibility to ensure that all payment information is current and accurate. The Client agrees to update the payment method information if the original payment method fails or is no longer valid to ensure uninterrupted access to the Program.

6. All sessions, including the Capstone event, are scheduled based on Company availability and are subject to change at any time, for any reason, at the sole discretion of the Company.

5. OTHER DIGITAL COURSES AND PROGRAMS
   1. Unless otherwise expressly stated at the time of purchase, refunds for other digital courses and programs offered by NATESVIOLIN LLC are available only if requested within fourteen (14) days of the original purchase date.
   2. Certain digital courses or programs may include additional or different terms related to refunds, access duration, scheduling deadlines, participation requirements, or completion timelines. Any such program-specific terms will be clearly disclosed at checkout or within the applicable program description and shall control in the event of a conflict with this Section.
   3. Refund requests made outside of the applicable refund period, or in violation of any program-specific terms disclosed at checkout, will not be honored.

We will make every reasonable effort to ensure your satisfaction with the applicable program. Due to the immediate availability of Program content and its downloadable nature, no refunds will be issued beyond the limited circumstances described herein. 1. NO CHARGEBACKS:

The Client will not, under any circumstances, issue or threaten to issue any chargebacks to the Company or to the Client’s credit card and/or form of payment (ie, PayPal) for any reason whatsoever related to the applicable program. In the event of a chargeback, the Company reserves its right to report it to the credit bureaus as a delinquent account. 

11. ARBITRATION CLAUSE:

If you have any complaint or should any issue arise in the use of the applicable Program, please contact us directly first by emailing Kate Reddish at kate@natesviolin.com.

However, if we are unable to amicably resolve your dispute in that manner, you agree that you and NATHAN COLE and NATESVIOLIN LLC shall submit your dispute to binding arbitration with the American Arbitration Association, before an arbitrator that is mutually agreed upon, in accordance with the American Arbitration Association’s (“AAA”) rules.

By agreeing to this term, you hereby agree and understand that you are waiving your right to a jury trial in court, which would otherwise be available to you if not for this Arbitration Clause. Should any arbitration hearing need to be held, it shall be held within 20 miles of Newton, MA.

If the arbitrator issues an award and a judgment is made, the judgment will be binding and will be entered in court in the State of MASSACHUSETTS. The only award that can be issued to you is a refund of any payment made to NATESVIOLIN LLC for the applicable Program. You are not permitted to seek additional damages, including consequential or punitive damages.

12. Limitation of Liability:

NATHAN COLE and NATESVIOLIN LLC are not responsible or liable in any way for any and all damages you receive directly or indirectly from your participation in the applicable program. We do not assume liability for damages, injuries, harm, death, misuse of (or failure to properly use) the applicable Program or its content, due to any act, or failure to act, by you. IN NO EVENT SHALL WE BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.

13. PAYMENT, PURCHASE, AND PAYMENT PLAN TERMS

A.  General Payment Terms: 

When you pay for the applicable Program by credit card, you authorize and give permission to NATESVIOLIN LLC to charge your credit or debit card for the amount owed for payment of the applicable program. When you purchase the applicable program, your information (i.e. credit card and contact info) may be collected by the third-party merchant, i.e., PayPal, Stripe, ApplePay, or WooCommerce (depending on the payment method you choose at checkout), who may have privacy policies or security practices that are different than ours. NATESVIOLIN LLC is not responsible for the merchant’s independent policies or practices.

B.  Subscription Terms / Failed Payment Procedures: 

The applicable Program is offered in three subscription options:

Annual Membership Subscription (Paid In Full)

Should you choose to purchase the applicable program via ANNUAL MEMBERSHIP SUBSCRIPTION at checkout (hereinafter the “ANNUAL SUBSCRIPTION”), you are hereby consenting to your payment method being charged immediately for one (1) year of access to the applicable program.

You may request a refund within fourteen (14) days of your initial payment date. After this fourteen (14)-day refund window, all payments for the Annual Subscription are non-refundable.

Your ANNUAL SUBSCRIPTION shall automatically renew each year on the same day unless canceled in accordance with these Terms of Use. We will contact you via email no less than thirty (30) days before charging your card for each renewal payment of the Annual Subscription. You have the option to discontinue your membership at that time. You must cancel your Annual Subscription through your account portal (My Account → Subscriptions) prior to the renewal date. Failure to do so may result in your payment method being charged for the next annual term.

Monthly Membership Subscription

Should you choose to purchase the applicable program via MONTHLY MEMBERSHIP SUBSCRIPTION at checkout (hereinafter the “MONTHLY SUBSCRIPTION”), you are hereby consenting to your payment method being charged immediately upon enrollment, prorated for the remainder of the current month. Your first full monthly payment will be charged on the last day of the month, and on the last day of each subsequent month thereafter, unless canceled prior to such date.

By choosing the Monthly Subscription, you hereby authorize and give permission to NATESVIOLIN LLC to automatically charge your payment method on file for each month of enrollment, for which you will receive an electronic receipt, without any additional authorization from you.

MONTHLY SUBSCRIPTIONS are non-refundable. If you cancel your Monthly Subscription prior to your next scheduled billing date, no further payments will be charged. Your membership and access to the applicable program shall remain active through the end of your current paid subscription term, after which your access will terminate.

All cancellations must be made through your account portal (My Account → Subscriptions). Failure to cancel through the account portal prior to the next billing date may result in additional charges.

C.  Failed Subscription Payments / Re-charge procedures:

By signing up for the membership subscription, your card will automatically be re-charged at each applicable interval for your remaining payments. Please plan accordingly.

If your payment fails on the 1st attempt:

In the event that your payment is not successfully made on your due date, your credit card will automatically be re-charged after a 5-day grace period to make your payment for the applicable program.

If your card was accidentally not updated or available to be processed at the time we attempted the initial charge, you will have that 5-day grace period to update your card information without any penalty or losing access to the applicable program.

After 2nd failed payment:

Your access to the applicable program will be temporarily suspended and you will not be able to access the applicable program at all until you successfully complete your payment. We will attempt to re-charge your credit card in 3 days.

After 3rd failed payment:

Your access will still be suspended, pending your successful completion of your owed late payment. In 3 days, we will attempt to charge your card or other payment method on file.

4th and final attempt to make payment:

The 4th attempt is the final attempt to collect your payment before the matter is forwarded to collections. If the 4th payment fails, you will be permanently removed from the applicable program and no refund will be given. 

When choosing to enroll in the applicable program, you consent to being responsible for ALL payments owed under the applicable program terms.

14. Severability 

The provisions of these Terms of Use shall be deemed severable, and the invalidity or unenforceability of any provision shall not affect the validity and enforceability of any other provision hereof. If any Section, subsection, sentence, or clause of these Terms of Use shall be adjudged illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability shall have no effect on the Terms of Use as a whole or on any Section, subsection, sentence, or clause hereof not expressly so adjudged.

15. Entire Agreement

These Terms of Use contain the entire agreement between you and the Company. There are no other promises or conditions in any other agreement (oral or written) between you and the Company.

16. Choice of Law + Venue

These Terms of Use shall be governed by the laws of the state of MASSACHUSETTS. Any action brought by any party arising out of or from these Terms shall be brought within the MASSACHUSETTS, County of Middlesex.

By purchasing and/or participating in the applicable Program, you implicitly signify your agreement to all of the terms in these Terms of Use.
